According to the Companies Act, owners of at least 10 % of the shares can request an extraordinary general meeting. Since the notice has already been sent out, the possibility of changing the agenda for this particular meeting is practically non-existent. The focus should therefore be on voting down the SVF deal and thereafter, with the support of 10 % of the shares, immediately request a new extraordinary general meeting with the sole purpose of electing a new board. 2. Special examination as a tool A special examination is one of the minority's sharpest tools. It provides an independent investigation that can secure evidence of mismanagement, conflicts of interest, and the questionable write-down of Fraktalkine. If the general meeting rejects our request, we (or our lawyers) can apply directly to Bolagsverket. Such an examination would provide us with the strong documentation required to justify further action. 3. Undue transfer of value and the board's responsibility The write-down of Fraktalkine from a communicated billion-value to zero, just before a reverse acquisition where a new party gains majority control, is legally very questionable. There is an obvious risk that this constitutes an unlawful transfer of value. This can lead to personal liability for the board members who participated in the decision.
