What if Mexico is not sold? MPC Energy Solutions distributes 12.1867 kr per share. The last day with right to the distribution is August 31. With a share price around 13.75 kr today, it means that the theoretical ex-price, in isolation, is around 1.56 kr. But what actually remains in the company? After the sales, it is mainly the Mexico project and the ownership stake in the American microgrid developer that remain. Management has simultaneously stated that Mexico and the USA ownership stake will likely remain in the company even after 2026 if they are not sold. The Los Santos plant of 15.8 MWp generates ongoing revenues. H1 2026, the Mexico project had an EBITDA margin of around 68%, even after a meter error cost the company almost one month's revenues. Management expects the project to return towards previous margins. So the question becomes: If one buys MPCES at approx. 13.75 kr today, does one then practically get back 12.19 kr and is left with a share around 1.56 kr which still has an operational solar power plant in Mexico, an American ownership stake and any remaining cash? It is of course not given that the market prices the share in this way after the ex-date. But precisely for that reason, I think September 1st becomes very interesting. If the market prices in little of the remaining values, an interesting repricing could occur if Mexico continues to generate solid cash flow or is later sold.

I think 12.19kr was disappointing - I had expected 12.50kr (1.14EUR). The cash flow/value of Mexico is probably not that large ref. last quarterly presentation. The only thing that can almost be guaranteed is the guaranteed amount from project Merlin. The next approved payment is also 0.37 EUR/share, and it is doubtful that they will scrape together quite that much. I assume in any case that further repayment will be delayed until at least July 27. But it will be exciting to follow the price ex-date.

🚀 MPCES – last chance before the capital distribution? MPC Energy Solutions will distribute a total of NOK 12.1867 per share to shareholders. The last day with entitlement to the payment is August 31, with payment on September 4. With the share price around NOK 13.75, it is extremely interesting to follow what happens after the ex-date. 🔥 Theoretical price after ex-date: approx. NOK 1.56 💰 Cash distribution: NOK 12.19 per share 📅 Last day with entitlement: August 31 But here's the exciting part: What if the market starts to price in the value of the remaining company after the distribution? It could become a possible "recovery case" where the share is first sharply adjusted down, before capital, remaining projects, and future operations start to be priced in again. 2020 Bulkers previously showed how dramatic such a repricing can be after a large cash distribution. History does not necessarily repeat itself, of course – but MPCES will definitely be a stock to follow closely around September 1. 🔥🚀 Distribution first – possible repricing afterwards? 👀 Chatgpt

If we assume that the guidance of 33 mill USD includes 0.9*LG (10% 12-month withheld guarantee amount) and 2.2 mill from escrow then I guess that LG is sold for approximately 6 mill (disappointing). In July 27 one gets 2.8 mill (rest Merlin). So the most optimistic estimate becomes 4 mill Q4, + 2.8 + 1.5 (Enernet) + 5 (Mexico) - 2 (Overhead) = 11.3 mill USD during 2027 (4.9kr/share).

Plus, you must remember that 33MUSD was free cash flow AFTER they had withheld operating costs. It would therefore be wrong to deduct 2MEUR "one more time" in your calculation, I think. Plus, if you add the operating revenues for the period, one can summarize that the originally planned payments will come, which is also pointed out by them being on track on all parameters (though with the exception of an additional cost of 2M in settlement where only 1,2 was booked).

It wasn't too bad, but the upside is constantly decreasing. Bid on Los Girasoles saves the day. Suggests payment of the first three steps in the plan, 1.14 EUR, approx 12.50kr during the year. Then I'm unsure what to expect beyond that. Probably the entire sale sum for Los Girasoles. A sale at book value would in that case give an additional approx. 4kr, but it's probably wise to adjust expectations down a bit. Extremely disturbing news about Mexico. I feared much worse and have sold, but am considering re-entering eventually.

ChatGPT - After going through both the report and the entire webcast transcript, I would summarize it as follows: MPC Energy Solutions – updated assessment of capital distributions 1. First payment (Q3 2026) This is the part that appears to be clearly most certain. The CFO says he will recommend a distribution of: USD 29 million Subject to board approval and the waiting period under Dutch law expiring as planned. With USD/NOK around 9.60, this corresponds to: * approx. 278 million kroner * approx. 12.5 kroner per share This is the clearly most concrete guidance they have given. ⸻ 2. Then towards year-end The company still confirms: USD 33 million free cash by the end of 2026. This corresponds to approximately: * 317 million kroner * 14.2 kroner per share The difference between 29 and 33 million is: * USD 4 million * approximately 1.7 kroner per share The CFO explains that this increase, among other things, comes from: * release of escrow * further project transactions * deducted overhead and other costs Thus, I believe the most likely path now is: * Q3: approx. 12.5 kr * towards year-end: an additional around 1.7 kr Total very likely by the end of 2026: approx. 14.2 kr per share. ⸻ 3. What is already included in the USD 33 million? This is now clarified in the webcast. To the question: Is the sale of Los Girasoles included in the USD 33 million? The CFO answers: “The answer is yes.” Thus, Los Girasoles is already included in 33 million. ⸻ 4. What comes in addition? Here comes the most important upside. Mexico The CFO says: * they still wish to sell * regulatory changes have put the sales process on hold * they are working on restructuring He also says: We hope to return to around USD 4 million in sales proceeds. ⸻ The USA investment The company still owns approximately: * 7 % * book value around USD 1.5 million This will also be sold. ⸻ Recapture of minimum cash There still remains: * escrow * minimum cash * other withheld amounts which can gradually be released. ⸻ 5. How much can the total be? The CFO receives a direct question about what shareholders can expect in total. He answers: * after the distribution, the company will still have around USD 4 million * then comes: * minimum cash back * Mexico * The USA investment And concludes with: “There will be more.” He says at the same time that he cannot estimate how much more. ⸻ 6. My updated assessment Very likely * Q3: approx. 12.5 kr * additional by year-end: approx. 1.7 kr Total by the end of 2026: approx. 14.2 kr per share. ⸻ Thereafter More will likely come when: * Mexico is sold * the USA investment is realized * remaining withheld funds are released ⸻ Realistic total outcome Based on the webcast, I believe a realistic range now is: * 14.2 kr: very likely by the end of 2026. * 16–18 kr: realistic total when the remaining assets are realized. * Around 19–20 kr: possible if Mexico is sold at the level management hopes for and other values are realized well. In my opinion, this is a significantly stronger conclusion than before the webcast, because management has now explicitly confirmed that Los Girasoles is included in the USD 33 million, while clearly stating that Mexico, the USA investment, and further release of cash come in addition
