TLDR: Status on the proportion of shareholders who have committed to accept the offer: 43.9% + 0.229 = 44.129% + incl. possible 0.196% (bought on the 8th, announced on the 12th) = 44.325 % Status on the proportion of shareholders who have either indicated or committed to accept the offer: Same as above, plus ATP's share (which, based on Asetek's announcement on January 12, must be included) of 13.45% = 57.579% possibly 57.775% Important updates after my post on January 5th: On January 8th, 626,433 shares (0.196%) were bought (announced after market close on January 12th, after the announcement (which came shortly after market opening) about 43.9% acceptance of the offer). On January 12th, January 13th, and January 14th, 730,578 shares (0.229%) were bought. It was announced on January 12th that 43.9% will definitely accept the offer. In a post on January 5th, I tried to get an overview of how large a portion of the shares in Asetek supported the acquisition, and updated with the latest acquisition announcements, this number reached 42.475% before it was officially announced on January 12th that the actual number is 43.9%, so I was approx. 1.5% off the correct number. In the same announcement on January 12th, the following is stated, which is relevant to my questions regarding ATP: "as of today, all shareholders with an ownership stake of over 5% have indicated their intention to accept the Offer." I wrote to ATP's press department on January 6th, where I inquired about their shareholding and their position on the offer, and received a reply from them on January 14th. Here is the email correspondence I had with them, in anonymized form: Sent: January 6th To: ATP Subject: Inquiry about ownership stake in Asetek A/S and ATP's decision on the takeover offer Hello, I am writing to you because there are "discrepancies" between various sources regarding your shareholding in Asetek A/S (ISIN: DK0060477263). I am well aware that you will provide your semi-annual update on your ownership stakes in companies around March, but since the company has received a takeover offer, it is relevant for the company's shareholders to receive this information now, as the offer expires in approx. 2 weeks. The background for my request is the following: based on the information I can find, I believe that there may have been "sand in the gears" regarding this company, as they were listed on the Norwegian stock exchange when you started your investment in the company, and have since moved to the Danish stock exchange, and in this connection, some changes that should have been made during this transition may have been overlooked. According to your Listed Danish shares at mid-year 2025, your ownership stake was 42,792,408 shares / 13.45% of the total 318,239,258 shares. Link: https://www.atp.dk/dokument/boersnoterede-danske-aktier-ved-halvaaret-2025 According to Appendix to Company Announcement of December 19, 2025 from Asetek, they state (on pages 8 and 9) that Arbejdsmarkedets Tillægspension (ATP) holds more than 10% of the share capital and Voting Rights, BUT simultaneously state that "Date of last notification" was June 15, 2018, this does not seem realistic, as the company has undergone 1 large share issue in 2023 (just before moving to the Danish stock exchange) and 1 large one subsequently in late 2024. Link: https://s28.q4cdn.com/535984607/files/doc_news/att-1-Publication-of-statement-by-the-Board-of-Directors-in-respect-of-the-takeover-offer-to-the-shareholders-of-Asetek-from-CQXA-Hol-FWY9W.pdf According to investing.com and other sites, your ownership stake on Dec 31, 2024, should be 15,849,157 shares / 5.00% of the company. Link: https://ng.investing.com/equities/asetek-ownership Therefore, I have the following questions, with reference to Asetek stating your last notification to be in 2018: what is your shareholding in Asetek, either as an exact indication of the number of shares and % share as in your own publications, or alternatively by indication according to the standard in the Capital Markets Act (greater than 5%, greater than 10% etc). And furthermore, the question of whether ATP will respond to the takeover offer (accept it) or not, as it is relevant for other investors in Asetek. Kind regards Reply sent from ATP: From: ATP Sent: January 14th Thank you for your inquiry. I have investigated the question regarding ownership stake, and the figures reported on ATP's website after the first half of 2025 are correct. You can find the overview of ownership stakes here: boersnoterede-danske-aktier-ved-halvaaret-2025 We calculate ownership stakes twice a year, after semi-annual and annual reports. The next time therefore in February 2026. Kind regards ATP

News out from Asetek: The Asetek transaction has no roadblocks from major shareholders. This means that the deal at 1.72 will very likely go through. See the company announcement today. There is thus a clear arbitrage opportunity by buying the share now and getting 1.72 for the shares in a few weeks. "While the final acceptance percentage will only be available when the offer period expires, Asetek has received notification that the shareholders who have irrevocably committed to accept the Offer and sell their shares, have increased their total ownership stake from 33.4% as stated in the company announcement of November 25, 2025 to 43.9%, excluding treasury shares. Furthermore, a number of major international and national investors have, since the publication of the Offer Document, indicated their intention to accept the Offer, and as of today, all shareholders with an ownership stake of over 5% have indicated their intention to accept the Offer."

And if the 90% had been reached, then they probably wouldn't have needed to send out that news. So another assessment could be that they are getting nervous about whether they will reach the goal. How can it be that you are fighting so hard for them to succeed?

@MarMur: All your sell recommendations are becoming tiresome. Just sell, as the few cents difference won't make much of a difference, besides us others not having to listen to that nonsense.

I have made the choice to sell my shares at a return of 120%. Only have 2000 shares left in the company. Then I would rather place the money in other companies. Others who have made the same choice?

If you have 2000 shares, then remember that if you accept the offer, you have the opportunity to exit the stock without having to pay brokerage fees. That, of course, presupposes that they reach 90% of the shares so that the transaction goes through.

Hi, I can only say that I am against this offer. DDK. 1,72 is naturally attractive if one has bought their shares at a lower price or at a price around that, provided one simply wishes to exit. I bought mine a very long time ago and have a GAK of almost DDK. 28,00! So I have declined. So I'd rather wait and see what might happen in the longer term .... If there are others besides me who will suffer a large loss on this stock by accepting a sale at this price, then perhaps we should stand together in saying no thanks. Regards Bente

Insider on the board of Vorup Invest keeps buying many shares to profit from the difference between the current price and the bid price of 1.72. That must be a big sign that they are sure the deal will go through.

My 30000 shares are set for sale for the offer, but I have also profited from them and can exit without commission and can put the money into something else and faster…

Insider on the board of Vorup Invest keeps buying many shares to profit from the difference between the current price and the bid price of 1.72. That must be a big sign that they are sure the deal will go through.
