- ·3 päivää sitten · MuokattuMogotes metals Part/1 of 2,. Mogotes Metals completed its first fully funded drill season at Filo Sur on September 4, 2026, with 6,208 meters (m) drilled. The season produced 2 discoveries, at Albor and Cruz del Sur, and 2 emerging porphyry targets at Luz del Sol and Cuenca. Albor returned 180 m at 0.98% copper equivalent from 108 m depth, including 58 m at 1.77% copper equivalent. Channel sampling extended the undrilled Cuenca target to 1.3 kilometers (km) by 0.5 km. The company has planned up to 20,000 m for 2026-2027, more than triple the season just closed. Mogotes metaller (TSXV: MOG | FSE: OY4 | OTCQB: MOGMF) completed its first fully funded drill season at the Filo Sur copper-gold-silver project on September 4, 2026, reporting 2 discoveries and 2 emerging porphyry targets from 6,208 meters (m) of drilling. The company has planned up to 20,000 m for the 2026-2027 season, more than triple the campaign just concluded. Season results at Filo Sur The season focused on 2 discoveries and delivered initial drill tests with two additional targets. At Albor, drilling returned 180 m at 0.98% copper equivalent from 108 m depth, including 58 m at 1.77% copper equivalent. The copper equivalent converts the multiple metals in an interval into a single copper grade. At Cruz del Sur, the company reported intervals of 308 m at 0.46% copper equivalent and 334 m at 0.45% copper equivalent, along with a near-surface gold-zinc breccia, crushed and recemented by mineralizing fluid, starting at 24 m depth. Both discoveries fall along the strike of the Macho Muerto Fault Zone, a northwest-trending structure crossing the Andes that the company describes as an environment it has only just begun to test. The first holes at Luz del Sol yielded weaker copper. One returned 18 m at 0.21% copper from 216 m depth; a second returned 24 m at 0.16% copper from 179 m depth and 20.5 m at 0.15% copper from 218.5 m depth. Channel sampling of road cuts at Cuenca yielded gold grades in grams per tonne (g/t) along with copper. The best cut yielded 153 m averaging 0.31 g/t gold and 0.11% copper, including 54 m at 0.46 g/t gold and 0.14% copper. Two additional road cuts yielded 123.4 m at 0.32 g/t gold and 61.7 m at 0.19 g/t gold.Mogotes Metals Part 2 of 2. President and CEO of Mogotes Metals, Allen Sabet, places the season's unsuccessful holes alongside its discoveries: "Everything is evolution and sequential learning from what you did. The holes that don't hit are just as important at the beginning because they tell you what you won't see over there." The weak holes at Luz del Sol reduced the search space for the next program exercises. Filo Sur's Position in the Vicuña District Filo Sur borders the southern boundary of the Filo del Sol resource. Both are located on the same middle Miocene belt of rocks, formed approximately 14 million to 16 million years ago, which also hosts the Lunahuasi discovery. The Vicuña district in Argentina and Chile has produced the largest copper discovery in the last three decades at Filo del Sol, and copper anomalies in soil extend from that deposit south into Mogotes' ground. The low resistivity geophysical signature used to target drilling at Filo del Sol is now appearing over Filo Sur. It was mapped over several seasons using magnetic and electrical surveys, which measure how rock conducts electricity and thus indicate what lies beneath the surface. Sabet explains why the team drilled wide instead of stepping out from known ground: "We've gone wide, we've done geophysics, we've done mapping, we've gone to find the elephant method, which in itself is riskier. You have to take big swings, you have to be a bit cocky to even think you're going to do it, but you go for it." Management states the property's strike length at approximately 8 kilometers (km), most of which remains to be covered. The 2026-2027 Program The program that follows is planned for up to 20,000 m, with drilling expected to restart in November 2026. Mogotes ended the year with the new target set, a strategic and technical alliance with Rio Tinto and a funded balance sheet. The financing came a week before the season closed. Rio Tinto Canada Inc. subscribed for an initial interest of approximately 5% through a placement of 21,271,500 CAD priced at 0.70 CAD per unit, which closed on August 27, 2026, with proceeds directed to work programs on Filo Sur. Significance for Investors The first funded season answered a narrow question. Filo Sur had geophysical anomalies and soil anomalies on trend from a major deposit, and none of them had been drilled. Two discoveries and two additional porphyry targets establish that the ground holds copper and gold in grades worth pursuing. What remains concerning is scale. Mogotes has no resource estimate on Filo Sur, and no metallurgical test results have been reported. A single wide intercept locates a system without sizing it, and the fault zone hosting both discoveries has only had a first pass of drilling. The planned program of up to 20,000 m is there to run that test. Tripling the meterage against a ranked target list, instead of spreading first-pass holes across a large land package, moves the work from finding mineralization to measuring it, and the results will come with a major already on the shareholder register. Market Reaction Mogotes had a market capitalization of 267 million CAD at a share price of 0.51 CAD on June 5, 2026. That valuation is prior to the Rio Tinto placement and the end of the drill season, so it prices the company before either of those were known. Remaining Target Inventory Much of Filo Sur remains untested. Luz del Sol, Meseta and Cuenca form the Sol target cluster, which the company describes as possibly a linked porphyry-epithermal system. Luz del Sol covers 1,600 m by 800 m according to a resistivity anomaly, and Meseta covers 1,000 m by 400 m with its top approximately 100 m below surface, returning rock chip assays of 1.48 g/t gold and 18.8 g/t silver. Cuenca, which no drill has entered, grew to 1.3 km by 0.5 km on the season's channel sampling. Sabet sizes what a season of drilling can achieve on a property so large: "Repeat this across the entire property. I mean, we have large areas where you've had to put a drill hole to test the original concept for those areas." Management has approximately 10 targets across the property, and the season reached a minority of them.

- ·14.7. · MuokattuMogotes Metals announces strategic investment of USD 15 million by Rio Tinto and proposed formation of strategic and technical alliance Mogotes Metals announces strategic investment of USD 15 million by Rio Tinto and the formation of Strategic & Technical Alliance July 13, 2026 – Toronto, Ontario – Mogotes Metals Inc. (TSXV: MOG, FSE: OY4, OTCQB:MOGMF) (“Mogotes”, or the “Company”) is pleased to announce that it has entered into a binding term sheet with Rio Tinto Exploration Canada Inc. (“Rio Tinto”) pursuant to which Rio Tinto or an affiliated company will subscribe for 30,387,857 units in the Company (“Units”) at a price of C$0.70 per Unit (the “Offering Price”) for gross proceeds of approximately USD 15,000,000, equivalent to C$21,271,500 (the “Placement”). Each Unit will consist of one common share of the Company (a “Common Share”) and one-half of one common share purchase warrant (each whole warrant, a “Warrant”); each whole Warrant entitles the holder to acquire one additional common share at an exercise price of C$1.00 for a period of 18 months from closing. Upon closing of the Placement, Mogotes and Rio Tinto will enter into a strategic and technical alliance initially focused on the Company’s Filo Sur project in the Vicuña district of Argentina and Chile (the “Alliance”). Highlights: · Rio Tinto to take an initial ~5% interest in Mogotes through a C$21,271,500 priced at C$0.70 per Unit. · Each Unit includes one-half of one warrant – 15,193,929 warrants in total – exercisable at C$1.00 for 18 months, representing potential additional proceeds to the Company of up to approximately C$15,193,929. · Proceeds from the Placement will be used to advance work programs at the Filo Sur project. · Rio Tinto and Mogotes will negotiate definitive long-form agreements, including a subscription agreement, an investor rights agreement, and an exclusivity agreement, establishing a strategic and technical alliance covering Filo Sur and the broader Vicuña portfolio. · Conditional upon closing of the Placement, Rio Tinto to receive a 15-month period of exclusivity with respect to the Filo Sur project, which may be extended by mutual agreement for an additional 6 (six) months. During the exclusivity period, Rio Tinto will also have the right to match third-party proposals involving the Filo Sur project or the subsidiaries holding the Filo Sur project. · Conditional upon closing of the Placement, Rio Tinto will have a top-up right entitling it to acquire up to 9.99% of the common shares on a partially diluted basis at any time during the exclusivity period. The top-up right will be exercisable at a price per share equal to the higher of the 20-day volume-weighted average trading price and a premium of 20% to the closing price on the last trading day prior to exercise, in each case subject to TSXV approval. Rio Tinto will also be granted customary pre-emptive rights to participate in securities offerings by Mogotes to maintain its proportional ownership during the exclusivity period.Strategic & Technical Alliance - Vicuña District and Beyond The Alliance is designed to combine Mogotes’ exploration team and district knowledge on the ground with Rio Tinto's global technical capability to accelerate discovery in one of the most prospective copper-gold-silver belts in the world. Key elements of the proposed alliance include · Formation of a joint technical committee to advise the exploration program at Filo Sur, drawing on Rio Tinto's multi-decade track record of porphyry discovery and development. · Application of Rio Tinto's pioneering proprietary geoscience tools - including advanced geochemistry, geophysics and targeting workflows - across the Filo Sur project. · Joint efforts to expand the consolidated land position in targeted prospective areas across the broader Vicuña District. · Subject to the completion of definitive Filo Sur documentation, the parties intend to explore an expansion of the Alliance concept to additional highly prospective mineral belts identified by the parties, including in Kazakhstan. CEO, Allen Sabet, commented: “Rio Tinto's strategic investment in Mogotes is a powerful endorsement of the prospectivity of Filo Sur and the broader Vicuña District. The Alliance provides our team access to one of the deepest exploration capabilities in the industry while preserving Mogotes' ability to deliver value to all shareholders.” The closing of the placement is subject to certain conditions including, but not limited to, the receipt of all necessary regulatory and other approvals, including the approval of the TSX Venture Exchange (“TSXV”). In connection with the Placement, Rio Tinto has also agreed to customary standstill restrictions that apply during the exclusivity period. The Company has a number of investors with existing pre-emptive rights (“Förebyggande rättigheter”). It is currently unknown the exact number of units that will be taken up when the pre-emptive rights are exercised, and to accommodate the exercise of the pre-emptive rights in full, the Company may issue up to an additional 17,000,000 units at the offering price.
