- ·25.9.Warning regarding value and technology extraction. The parent company Kalpataru is a listed Indian conglomerate with a long and well-documented history of using capital markets to optimize value in the parent company, not in the IPO company! In several previous cases, the group has structured IPOs of subsidiaries so that external investors practically finance Kalpataru's own acquisitions and expansion, while the group retains full control over the operations. In the Linjemontage case, the pattern appears to be that the IPO is designed as a secondary offering where the capital from Swedish investors is not contributed to Linjemontage, but accrues to Kalpataru. This means that investors on the Stockholm Stock Exchange would in reality be paying for Kalpataru's acquisition of Linjemontage - which means the group practically gets the sold share of the company "free of charge". When a conglomerate both retains control and has a history of using subsidiaries to strengthen the parent company's share price, a well-known ownership risk arises: that the subsidiary becomes a cash cow where profits, cash flows and values are channeled upwards in the group through transfer pricing, management fees, group loans and/or dividend policy. In such a scenario, Linjemontage's share price could perform poorly despite strong operations, because value is systematically extracted to the parent company. This means Swedish owners get cheated out of positive share price development and Swedish (European) citizens get cheated out of technological know-how which, instead of generating development of competitiveness in Swedish and European companies, builds even more competitiveness in Asia. Against this background, Kalpataru appears as one of the least attractive alternatives for investors who want to contribute to Swedish and European industrial development, strengthen local corporate governance and avoid value extraction to non-European conglomerates, in this case in the form of Kalpataru's share price on the NSE and BSE in India respectively. The Swedish EPC market in energy infrastructure offers several significantly more long-term sustainable alternatives, where the ownership structure is transparent and more focused on creating value for shareholders on the Stockholm Stock Exchange. As illustrative examples, I list some of the significantly more attractive alternatives in the energy sector's EPC industry: Bravida (owner of Abeka) A Swedish listed company with Nordic corporate governance, strong transparency and a long-term focus. Bravida is a central player in energy and installation infrastructure and offers a stable ownership structure without conglomerate risk. Investments in Bravida contribute to Nordic industrial development and capital stays within the EU. Peab (owner of ATS Kraftservice) Peab is one of the Nordic region's largest construction and civil engineering companies, with clear Swedish control and long-term ownership focus. Through Peab, investors gain exposure to energy infrastructure and EPC-related services, but within the framework of a Nordic corporate governance that benefits shareholders and avoids value extraction. VINCI Energies (owner of Eitech) - via the VINCI share on European stock exchanges VINCI is one of Europe's largest infrastructure companies and offers a stable European ownership structure. Although the share is not traded on the Stockholm Stock Exchange, it is a relevant European alternative. These companies are better alternatives for investors who want to avoid non-European conglomerates whose actions exhibit value extraction and technology extraction, to the detriment of European industrial development. These are companies with ownership structures that ensure capital and competitiveness to a greater extent stay in Sweden or the EU, where corporate governance is transparent and where incentives are focused on creating long-term value increase for the shareholders.Groundless speculation without basis regarding Kalpatur in my opinion, what happened before the IPO is one thing, but now that lmg is on the stock exchange there are clear rules regarding accounting. Some internal pricing, management feedback, group loans are your speculations. The companies you highlight are not comparable at all. Bravida is primarily an installation company, subsidiary Abeka which does turnkey projects like lmg is a tiny part. Does not do large projects over 130kV. NCC is an earthmoving/construction company, ATS is hardly visible in their financial statements, is starting to build power lines but needs to buy that expertise. Does not do substations over 130kV. VINCI is primarily a consulting company and active in several different parts of infrastructure. However, owns Omexon, which is a competent competitor to lmg but a very small part of Vinci. Lmg is your really exciting company purely active in the Swedish (and Norwegian) electrical power expansion, transformer stations and lines from 10-400kV. Clearly the company that has the largest market share for this in Sweden and the supplier that Svenska Kraftnät, Vattenfall, Eon and Ellevio give the best evaluation in knowledge to be able to carry out these large and complex contracts. Intensive trading by retail investors on the first trading day. Should be an exciting stock when institutions and funds start taking positions in the company. Should be around 52-55kr let us see if it gets there already this week..
- ·25.9.Surely it is strange both Svevik and Linjemontage say over-optimistic many times then those who should buy and believe in the company do not buy. Like much else nowadays just FAKE.
