- ·18.8.Fraser 47% of the shares. Uhm..... I'm not an expert.... But I'm one of those who are in the red..... does that mean Fraser has enough shares to take it over or what? Can anyone help?I am no expert either. I assume it is in Germany as it is in Scandinavia, that upon achieving 90% of the shares, they can compulsorily acquire the remaining 10%. So, one needs 90% of the shares in the company to take it completely over. If one is then among the last 10% of owners, one will be compulsorily acquired at a price equal to the last bid the acquiring company has made. Frasers bought itself up in Boss and crossed the 30% threshold which triggers a mandatory bid obligation. Frasers then becomes obliged to make a bid for the entire Boss, or sell down again below the 30% threshold. A bit unsure about that rule. It should be something about existing owners being given the opportunity to exit, given that such a large new owner can lead to changes in the company that the old/existing owners will disagree with. Since Frasers' bid was triggered by the mandatory bid obligation, I assume they were not necessarily interested in taking over the entire company now. The bid was at the lowest legally permissible within the regulations (the share's average price based on x number of weeks/months back in time), but they seemed satisfied with getting the shares they could at that price as they extended the offer period. Often when a company buys another, they have to pay a premium to increase the likelihood of getting acceptance for at least 90% of the shares. The Boss share is now at 38 Eur. A 50% premium would have resulted in a bid of 57 Eur. When looking at the trend for Boss, the share price has mostly been higher than the current bid, so I thought it would be strange if the bid were accepted at this level. Many would then have to accept selling out at a loss. But it could be that other large owners have a low average acquisition cost for their shares. Lower than the current price. But the board, which surely represents large owners, probably opposed this bid. So what happens now? Can they still extend the offer period, or is it over? I don't know. More announcements will probably come eventually. If the offer period is finished/concluded, then the show will probably continue as before. The share goes up and down.
