- ·8 t sittenFROM SURVIVAL OVER MERGERS TO SHAREHOLDER CARE Normally, the memory of financial market operators does not stretch far back. But if there is one event most of us remember, it is the financial crisis of 2008. Personally, I had become a homeowner a couple of years before. I actually believe we managed to buy exactly at the peak in 2006 – and I remember sitting with my newborn twins in my arms when the stock markets collapsed after Lehman Brothers' bankruptcy on September 15, 2008. Even though we had bought the house expensively, my wife and I still had over a million kroner in stocks. We did not have that when the stock market bottomed out in February/March 2009. In reality, the declines had begun before September 15, 2008, but the panic that arose during those days hit many of us hard. It is my assertion that the banks in Denmark have only now truly put the financial crisis behind them in recent years. The period of almost 20 years (!) has indeed been a long Tour de Force in survival. Not only have the banks had to rebuild their equity, clean up loans and borrowers – they have also had to contend with legislation, compliance requirements, and politicians who, to say the least, have not been favorable to the banks. And they have had to convince both professional investors and amateur investors that the sins of the past will not be repeated. It has cost some banks their lives along the way, but we now stand with 17 listed banks that, based on an objective assessment of their solidity, have never been stronger. Capital requirements are met, the quality of lending seems reasonable, and opportunities for further efficiencies via AI await. The merger wave has rolled on throughout the years since the financial crisis. In some cases, the mergers have been voluntary – in other cases, they have been forced. Everyone in the industry agrees that the merger wave will continue – but no one expects to be acquired. I am personally convinced that some of the smallest banks (most obviously Lollands Bank and Møns Bank) will find it difficult to survive independently in the long run. Top lines are stagnating, and costs continue to rise. This means they will find themselves in a relatively weaker and weaker negotiating position the longer they wait. It would also surprise me if one or more of the following players are not part of a merger in the coming years: Jyske Bank, AL Sydbank, Ringkjøbing Landbobank, and SJF Bank. The same applies to Danske Bank and Nordea – the most likely scenario, however, is that they will look towards Sweden and Norway. But the prices of bank shares have risen so quickly in the past couple of years that it is difficult to see a situation arising where bids of 40%-50%-60% above current prices, as we have seen previously, will occur. Is there then nothing more to gain among Danish bank shares? Yes, I am convinced that is the case – but not everything is rosy, of course. I am very aware that at some point, there will again be losses on banks' loans – some speculate that the current crisis among pig farmers could be the trigger. Personally, I am more concerned about the USA's debt situation, as it has the potential to shift some tectonic plates beneath us. As a stock investor, however, it is important not to be scared by all the different potential risks out there – and banks, as previously mentioned, are more solid than ever. Over the past 5 years, we have been through a pandemic, war in Ukraine, and a trade war – and none of these have triggered significant losses other than those that banks have provisioned for – but which have not yet been realized… This gives some hope that more will be needed before significant losses are realized in the financial statements. And that leads to the scenario that, in my eyes, is most likely after (1) Financial crisis (2) Survival and regulatory tightening and (3) Mergers. I believe and hope that SHAREHOLDER CARE will become a significant element in the coming years. The holes are filled after the financial crises, and capital requirements are met. There is no longer a ban on distributions. Profits and surplus liquidity can now therefore benefit shareholders. Larger banks have in recent years distributed all (or almost all) of their profits. I expect this to be a trend that will continue. And I expect share buybacks to become an even more widespread discipline than they have been. If I am right in the above, then the sector should finally (after almost 20 years) be out of the doghouse among investors. Then the current price levels may also prove to be too low when we look at investments where profits are transparent and almost completely paid out to shareholders.
